These Terms of Service ("Terms") are an agreement between you and MKB Consulting, Inc ("we", "us") for your use of Produce It (the "Service") at produceit.online. By creating an account or using the Service, you agree to these Terms. If you use the Service for a company, you agree for that company, and you confirm you have authority to do so. If you don't agree, don't use the Service.

1. The Service

The Service helps producers plan and run productions: project intake, budgets, vendor and crew records, call sheets, run-of-show and cue sheets, schedules, and sending them to the people who need them. We may change or improve the Service over time.

2. Accounts and workspaces

  • You must give accurate information and keep your sign-in details secure. You are responsible for activity under your account. Tell us right away at produceit.support@mkb.consulting if you think someone has used your account without permission.
  • A workspace belongs to the Customer that created it. Workspace admins control who has access.
  • You must be at least 18 to create an account.

3. Your content and other people's information

  • You keep ownership of everything you put into the Service ("Customer Content"). You give us permission to host, copy, process and display Customer Content only as needed to provide the Service to you. You are responsible for your Customer Content and for having the rights to use it. We don't review Customer Content and aren't responsible for it.
  • When you add information about other people, such as crew, vendors and clients, you confirm that you have the right to add it and to use it for your production, and that you will handle it lawfully.
  • Text-message consent: when you mark that someone "agreed to texts", you confirm that the person told you they agree to receive production texts at that phone number. Don't mark consent you haven't been given. Agreeing to texts must never be a condition of working on a production.
  • People under 16: add someone under 16 only with permission from their parent, guardian or another person who can legally consent for them, and use that person's email address and phone number for messages and texts.

4. Text messages (SMS)

Program: Produce It sends production text messages on behalf of producers to crew and vendors who have agreed to receive them. These texts are call sheets, schedule changes and invite links.

  • Message frequency varies. Message and data rates may apply.
  • To stop: reply STOP to any message. You'll get one confirmation, and no further texts unless you agree again.
  • For help: reply HELP, or email produceit.support@mkb.consulting.
  • Carriers are not liable for delayed or undelivered messages.
  • Agreeing to texts is not a condition of any purchase or of working on a production.
  • See our Privacy Policy for how we handle phone numbers and consent. We never share mobile numbers or text-messaging consent with third parties for marketing.

5. Links you share

Some features create links that open without a login, such as a call-sheet confirmation link or a shared budget. Anyone who has a link can open it, so share links only with the intended person. Links expire or can be turned off where the Service allows. You are responsible for what you share through a link.

6. Acceptable use

You agree not to:

  • break the law, or infringe anyone's rights;
  • send spam, or send messages to people who haven't agreed to receive them;
  • upload malware, or try to get into accounts, workspaces or systems you aren't authorised to use;
  • probe, overload or disrupt the Service, or get around its security or limits;
  • copy, resell or reverse-engineer the Service, except where the law allows it;
  • use the Service to build a competing product.

We may suspend access that breaks these rules or puts the Service or others at risk.

7. Fees and billing

Intentionally left blank. The Service is currently in test mode, and no one is charged for it. Before any paid plan starts, we will add fee and billing terms here and let Customers know.

8. Third-party services

The Service connects to other services, such as Google Calendar, email and text-message delivery, and payment processing. Your use of those services may be subject to their own terms. We are not responsible for third-party services.

9. Our intellectual property

The Service, including its software and design, belongs to us and our licensors. These Terms don't give you any rights in it except the right to use the Service as allowed here. If you send us feedback, we may use it without obligation to you.

10. Ending your use

You can stop using the Service at any time, and close your account by emailing produceit.support@mkb.consulting. We may suspend or end your access if you seriously or repeatedly break these Terms, if we have to by law, or if we stop offering the Service. Where we can, we will give you notice and a chance to export your Customer Content. Sections that by their nature should survive, such as 3, 9, 11–14 and 16, survive the end of these Terms.

11. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don't promise that the Service will be uninterrupted or error-free, or that a message will be delivered. Always confirm critical details, such as call times, locations and safety information, directly with the people involved.

The Service is a tool for organising a production. It does not give legal, tax, accounting, insurance, safety or other professional advice. You are responsible for checking budgets, estimates, schedules, tax forms, insurance certificates and anything else the Service produces or stores before you rely on it. Features marked preview or beta may change or be removed, and may be less reliable. Keep your own copies of anything you can't afford to lose.

12. Limitation of liability

To the fullest extent the law allows, we won't be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the claim, or (b) US $100. These limits apply whatever the legal theory, even if we were told the damages were possible, and even if a remedy fails of its essential purpose. Some places don't allow some of these limits, so they may not all apply to you.

13. Indemnity

You agree to defend and indemnify us against claims arising from your Customer Content, your use of the Service in breach of these Terms, or your breach of the law, including claims about messages sent to people who had not agreed to receive them.

14. Governing law and disputes

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Disputes will be resolved in the state or federal courts located in California, and both parties consent to their jurisdiction.

Before filing a claim, you agree to email us at produceit.support@mkb.consulting describing the dispute, and to give us 30 days to try to resolve it informally. To the extent the law allows, any claim relating to the Service must be brought within one year after it arises.

15. Changes to these Terms

We may update these Terms. If we make significant changes, we will let Customers know by email or in the Service before they take effect. If you keep using the Service after changes take effect, you accept the new Terms.

16. General

  • Whole agreement: these Terms, our Privacy Policy and any order or pricing you agree to with us are the whole agreement between you and us about the Service.
  • Severability and waiver: if part of these Terms can't be enforced, the rest still applies. If we don't enforce a term right away, we haven't given up the right to enforce it later.
  • Transfer: you may not transfer these Terms without our written consent. We may transfer them as part of a merger, acquisition or sale of assets.
  • Events outside our control: we aren't responsible for delays or failures caused by events beyond our reasonable control, such as outages at our providers, carriers or networks, or natural disasters.
  • Notices: we may send notices to the email address on your account, or show them in the Service. Send notices to us at produceit.support@mkb.consulting.
  • Relationship: these Terms don't create a partnership, employment or agency relationship.
